    1. Acceptance of Terms

    By accessing or using the services provided by Continuum Overnight Primary Care ("Continuum," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services. These Terms apply to all visitors, users, and members of the Continuum platform.

    2. Description of Services

    Continuum provides subscription-based direct primary care (DPC) telehealth services, including but not limited to: overnight and daytime messaging with a board-certified physician, video and phone consultations, prescription management, lab ordering, care coordination, and health coaching. Our services are delivered via a HIPAA-compliant telehealth platform.

    Important: Continuum is not an insurance plan and does not replace health insurance. Our services are not a substitute for emergency medical care. If you are experiencing a medical emergency, call 911 immediately.

    3. Eligibility

    Our services are available to adults aged 18 and older who reside in U.S. states where Continuum holds active medical licenses. We practice internal medicine and do not provide pediatric care. You must provide accurate, current, and complete information during registration and maintain the accuracy of such information.

    4. Membership & Billing

    • Subscription Plans: Continuum offers monthly subscription plans and one-time consultation options as described on our pricing page.
    • Minimum Commitment: All memberships require a minimum commitment of 6 months, except during the initial 30-day trial period.
    • Billing: Membership fees are billed monthly in advance. By subscribing, you authorize us to charge your payment method on a recurring basis.
    • Cancellation: Cancellation is not permitted during the first 6 months except during the initial 30-day trial. After 6 months, memberships renew monthly and may be cancelled with 30 days' written notice. Re-enrollment triggers a new 6-month commitment.
    • Refunds: Membership fees are generally non-refundable. If you cancel within the initial 30-day trial period, you will receive a full refund.

    5. Scope of Care

    Continuum provides primary care services via telehealth. We do not provide:

    • Emergency medical services
    • Initiation of controlled substances for ADHD, anxiety, or insomnia via telehealth
    • Procedures requiring in-person examination
    • Pediatric care
    • Surgical consultations

    Our physicians may order labs, imaging, and prescribe medications when clinically appropriate and permitted by state law. External services such as labs, imaging, medications, and specialist consultations are billed separately and are not included in your membership fee.

    6. Telehealth Consent

    By using our services, you consent to receiving medical care via telehealth technologies, including video, phone, and secure messaging. You understand that telehealth has limitations, including the inability to perform physical examinations. Your physician may determine that your condition requires in-person evaluation and will refer you appropriately.

    7. User Responsibilities

    You agree to:

    • Provide accurate and complete health information
    • Use our services only for lawful purposes
    • Not share your account credentials with anyone
    • Maintain appropriate internet connectivity for telehealth consultations
    • Seek emergency care when appropriate (call 911)
    • Not use the platform to obtain controlled substances inappropriately

    8. Intellectual Property

    All content on the Continuum website and platform, including text, graphics, logos, and software, is the property of Continuum Overnight Primary Care and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without our express written permission.

    9. Limitation of Liability

    To the maximum extent permitted by law, Continuum and its physicians shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount you paid for services in the 12 months preceding the claim. This does not limit liability for medical malpractice claims, which are governed by applicable state law.

    10. Dispute Resolution

    Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except for claims related to medical malpractice, which shall be governed by the laws of the state where care was provided.

    11. Modifications

    We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through our platform. Your continued use of the services after changes take effect constitutes acceptance of the revised Terms.

    12. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law provisions, except where superseded by federal telehealth regulations.
